Terms & Conditions
1. Definitions
In these Terms & Conditions the following meanings shall apply:
- 'Account' means the facility extended under these Terms & Conditions.
- 'Service/s' means the Compliance Connect services/facilities available on the Site provided by Keychoice.
- 'Site' means the Keychoice KC Connect portal.
- 'Keychoice' means the supplier of the Service/s as fully detailed on the Site.
- 'You' or 'Your' refers to a customer registered by Keychoice to use the Service/s.
2. Registration

In order to register for the Service/s and set up Your Account You must complete the Registration Form. You confirm that all the details supplied by You about Your business when You register are accurate and complete. |

In order to operate Your Account You will be provided with a unique user name and password.
You are responsible for the security and proper use of Your passwords. |
| 2.3 |
You are contracted into the Service/s for the first 12 months with a 3-month notice period thereafter. |
3. Provision of the Service/s
| 3.1 |
The Service is accessed via the Internet. You are responsible for the provision of and payment for the telecommunications service plus suitable hardware and software necessary to enable You to access the Service. |
| 3.2 |
Keychoice cannot guarantee the performance of the Internet, that the Service/s will never be faulty or that it will be available at all times, but Keychoice will correct reported faults as soon as Keychoice reasonably can. Keychoice may need to vary the site instructions or temporarily suspend the whole, or any part, of the Service/s from time to time but shall give You as much notice as is reasonably practicable in the circumstances. |
4. Charges

In return for Keychoice providing the Service/s, You will pay Keychoice in accordance with these terms and conditions and the fee structure as laid out in the accompanying Registration Form. |

You will commit to accepting this service for all Your staff who are engaged in General Insurance activities. |
| 4.3 |
All fees are inclusive of VAT at the current ruling rate where applicable. |
| 4.4 |
All fees will be collected by direct debit on a monthly basis around the 22nd day of each month. |
| 4.5 |
During the first 12 months that You have access to the Service there will be no reduction in the monthly payment for the de-registration of staff taking You into a lower charging band. |
| 4.6 |
The direct debit will remain in force until the agreement to use the Service is terminated. Any changes to the value of the monthly direct debit will be notified to You at least 14 working days before the payment is due. |
5. Cancellations and Termination
| 5.1 |
You may not cancel an order for the Service in the first 12 months following Your commencement of this service. |
| 5.2 |
If You cease to use the Service during the initial 12 months the remaining monthly payments for that period must still be paid. |
| 5.3 |
In addition to any other rights Keychoice may have, Keychoice can terminate Your passwords and Your Account immediately without notice if You (a) breach any provision of this Agreement and fail to remedy that breach promptly upon notice from Keychoice; or (b) use the Service/s outside the terms of this Agreement; (c) have a receiver, manager, administrator, administrative receiver or liquidator appointed or shall pass a resolution for winding-up or if a petition is presented to any court for Your winding up or if You enter into any composition arrangement with Your creditors or if any proceedings are commenced relating to Your insolvency or possible insolvency; (d) are unable to pay Your debts. |
6. General
| 6.1 |
Keychoice will not be liable for any unavailability of the Service/s where it is caused by circumstances outside Keychoice reasonable control, for example, technical or communications breakdown, industrial action or power failure. Keychoice will notify You of these circumstances as soon as reasonably practical. |
| 6.2 |
If You change Your name, e-mail address or any other address or information You provide to
Keychoice on registration, You must notify Keychoice of the new details promptly. |
| 6.3 |
Keychoice may vary these Terms from time to time. Keychoice will give You notice of any change to the Terms by the posting of that change on the Site. |
| 6.4 |
You and Keychoice have obligations under data protection and privacy laws and both agree to observe them. In particular You will gain explicit consent from Your employees to pass their data to Keychoice for the purposes of the Service/s. |
